wants to make it easier for you to know what we expect from you and what you can expect from us.

Dealer Discounts & Pricing

• Accessories, Bulk Orders, and Demos are excluded from discount pricing.
• Pricing and availability are subject to change without notice.
• FoxFury will distribute pricing revisions as they become available.
• Demos are available at 10% off (Limit quantity 1 per part number).

Minimum Order Requirement

• Order requirement of minimum $100 per PO (excluding USA Drop Shipments).

• 50% deposit with order via bank wire is required for orders over $25,000. Balance due prior to shipment of merchandise via bank wire or check.

Drop Shipments

• Drop Shipping is available for USA Dealers shipping within the USA only. No Exceptions.
• Drop ship fees are assessed per transaction.

Minimum Advertised Pricing (MAP) is strictly enforced
No Dealer is allowed to ADVERTISE any FoxFury product in such a way that would render the individual unit price lower than MAP.

• For example, granting customers “Buy 3 at MAP and Get 1 Free” or “Buy 2 Get 5% off” violates MAP policy.
• No Exceptions – this includes trade shows, websites and all other paper and electronic marketing materials.
• Free shipping or limited-time store-wide discounts (applicable to ALL items, not just FoxFury) are acceptable.

The following course of action will be taken for all MAP VIOLATORS:

• 1st offense: Verbal warning, allowing 24 hours to correct the violation.
• 2nd offense: Lose pricing advantage. Pricing will be shifted to the next highest pricing level.
• 3rd offense: May lose the right to sell the FoxFury line.

Order Processing
USA and Canada Order Payment Terms

• First order must be prepaid in full via credit card or bank wire; terms may be set up for future orders (based on Dealer’s credit).
• Credit Card payments accepted for pre-approved Dealers (up to $10,000).
• Payments can be made via check, bank wire, transfer or credit card. Credit Card maximum accepted is $10,000. Any amount above $10,000 paid via credit card will incur an additional 3% bank fee charge.
• Dealer is responsible for all taxes and import duties on international shipments.

International Order Payment Terms

• Full payment must be received prior to shipment.
• Credit Card payments accepted for pre-approved Dealers (up to $10,000).
• Payments can be made via check, bank wire, transfer or credit card. Credit Card maximum accepted is $10,000. Any amount above $10,000 paid via credit card will incur an additional 3% bank fee charge.
• Dealer is responsible for all taxes and import duties on international
shipments.

Order and Shipment Confirmations

• Both are provided via email ONLY.

Overdue Payments

• Late fees of 1.5% per month will be assessed on invoices 30 days past due.

Paperless Invoicing

• Please provide appropriate email contact info.

Returned Checks

• These will incur a fee of $49.

Sales Tax

• Dealer is responsible for sales taxes in their area when selling FoxFury products.
• FoxFury is NOT liable for any taxes incurred by Dealer.
• Shipments in/to California, regardless of bill to origin, will be assessed a 8.25% CA Sales Tax unless a CA Reseller’s Permit is supplied.

USA and Canada Shipping

• Shipping costs are the responsibility of the Dealer.
• All orders ship FOB Oceanside, CA via UPS Ground or USPS, unless otherwise noted.
• For other carriers, Dealer must schedule/coordinate pick-up.
• A $10 processing fee will be assessed for all non-UPS and non-FEDEX carrier shipments.
• FoxFury prefers to ship under Dealer’s UPS or FEDEX account number (if available).
• Ownership and Title transfers to Dealer immediately after shipment leaves FoxFury’s business location in Oceanside, CA USA. Dealer assumes all risk and liability for loss, damage or destruction.
• Special International Documents must be requested prior to shipment.
• A courier incurred charge of $20 will be passed along to the Dealer if incorrect address is supplied or if package is refused.

International Shipping

• Shipping costs are the responsibility of the Dealer.
• All orders ship FOB Oceanside, CA via UPS Air or FEDEX Air, unless otherwise noted.
• For other carriers, Dealer must schedule/coordinate pick-up.
• A $50 processing fee will be assessed for all non-UPS carrier and non-FEDEX shipments.
• FoxFury prefers to ship under Dealer’s UPS account number (if available).
• Ownership and Title transfers to Dealer immediately after shipment leaves FoxFury’s business location in Oceanside, CA USA. Dealer assumes all risk and liability for loss, damage or destruction.
• Special International Documents must be requested prior to shipment.
• A courier incurred charge of $50 will be passed along to the Dealer if incorrect address is supplied or if package is refused.

Third Party Credit Cards

• FoxFury is unable to process—No Exceptions.

Dealer Sales and Marketing Responsibilities
Dealers must sell over $2,000 per year to maintain active Dealer status.

• In order to be listed on the FoxFury website, Dealer must maintain a minimum of $5,000 in sales per year annually.

Dealers must keep FoxFury product information current on websites.
Please do the following:

Let FoxFury know of any policy or pricing violations immediately; provide specific details (who, what, when, where, etc.).
• Accessories, Bulk Orders, and Demos are excluded from discount pricing.
• Dealers must update websites and catalogs with current FoxFury
Products, Photos, and Content. FoxFury provides Dealers with all
product information and details to be uploaded to Dealer’s
websites.

Please do not do any of the following:

• Resell to other Dealers unless you have written consent from FoxFury.
• Advertise below MAP.

Trademarks and Copyright Rules

• Please ask for permission when using FoxFury’s photos, logos, documentation and/or any other copyrighted material.

Return Policy and Procedures
Product must be returned in original and resalable condition for refund.

• Restocking fees apply.
• Shipping fees are excluded and will not be refunded.
• Defective units will be replaced or repaired as per standard product warranty.
• Custom orders are non-cancelable and non-refundable.

FoxFury, LLC (“FoxFury”) warrants its products to be free from defects in material for a lifetime of use except for batteries, LEDs, abuse, and normal wear. We will repair or replace this product should we determine it to be defective. This limited lifetime warranty excludes rechargeable batteries, chargers, switches, and electronics, which have a 2-year warranty with proof of purchase.

This limited lifetime warranty is given only to the original end user of the accompanying product. If you purchased a product from someone other than an authorized FoxFury reseller/distributor or if the product was used (including but not limited to demo models, show models or refurbished product by someone other than FoxFury) prior to your purchase, you are not the Original Purchaser and the product that you purchased is not covered by this warranty. This limited warranty is VOID if this Product has been altered or modified in any way (including but not limited to attempted warranty repair without authorization from Foxfury and/or alteration/removal of the serial number). To expedite warranty concerns, we encourage the end user to register their FoxFury Product at www.foxfury.com/pages/warranty-registration.

THIS IS THE ONLY WARRANTY, EXPRESSED OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES ARE EXPRESSLY DISCLAIMED EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

You may have other specific legal rights which vary by jurisdiction. Retain your receipt for proof of purchase. This limited lifetime warranty shall not apply if this product is not stored, handled, installed or used in strict accordance with manufacturer’s specifications and instruction manuals, or which has been subject to misuse, alteration, negligence or accident.

1. The damaged part or product must be returned to FoxFury PRIOR TO any repair or replacement. Shipping costs are the responsibility of the claimant.

2. You must obtain a return authorization (RMA) number from FoxFury prior to returning products. FoxFury is not responsible for any damage incurred while in transit.

3. Buyer will be required to show proof of purchase—No Exceptions.

4. Any modifications to light, cable or battery pack automatically voids all warranties on this product.

All warranty inquiries should be directed to FoxFury’s Customer Service Department to handle all warranty/repair-related inquiries.

TO THE EXTENT ALLOWED BY APPLICABLE LAW: (A) IN NO EVENT, WHETHER DUE TO BREACH OF WARRANTY HERE UNDER OR ANY OTHER CAUSE WHATSOEVER, SHALL FOXFURY BE LIABLE FOR OR OBLIGATED IN ANY MANNER TO PAY CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, COST OF SUBSTITUTE PRODUCTS AND PERSONAL INJURY OR PROPERTY DAMAGE, WHETHER SUCH CLAIM IS BASED ON CONTRACT OR TORT OR ANY OTHER THEORY OF LAW, AND (B) FOXFURY’S ONLY DUTIES IN CONNECTION WITH THE SALE OF THIS PRODUCT SHALL BE TO HONOR THE LIMITED WARRANTY SET FORTH HEREIN. TO THE EXTENT THAT THIS LIMITED
